Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Rutagon LLC ("Rutagon," "we," "us," or "our") governing your access to and use of rutagon.com (the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
  • Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site
  • Use any automated means (bots, scrapers, crawlers) to access the Site for any purpose without our express written permission
  • Introduce any viruses, Trojan horses, worms, or other material that is malicious or technologically harmful
  • Interfere with or disrupt the Site or servers or networks connected to the Site
  • Impersonate or attempt to impersonate Rutagon, a Rutagon employee, another user, or any other person or entity

2. Intellectual Property

The Site and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, software, and the design, selection, and arrangement thereof — are owned by Rutagon, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

RUTAGON is a federally registered trademark on the Principal Register of the United States Patent and Trademark Office (RUTAGON — US Reg. #8133222). You may not use the RUTAGON name, logo, or any related marks without our prior written consent.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal and business evaluation purposes only. This license does not include the right to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content obtained from the Site.

3. Services Information

Information presented on the Site about our capabilities, services, and expertise is for general informational purposes only and does not constitute an offer, proposal, or binding commitment. All engagements between Rutagon and its clients are governed by separate written agreements (such as statements of work, master service agreements, or contracts) that specify scope, deliverables, timelines, and pricing.

Government contracting information presented on the Site (including SAM.gov registration status, NAICS codes, and capability descriptions) is accurate to the best of our knowledge as of the last updated date but may be subject to change. This information does not constitute a representation of eligibility for any specific contract or program.

4. User Submissions

When you submit information through our contact form or via email, you grant Rutagon a non-exclusive, royalty-free right to use that information for the purpose of responding to your inquiry and evaluating potential business relationships. We will handle your submissions in accordance with our Privacy Policy.

You represent that any information you submit is accurate and that you have the right to provide it. You are solely responsible for the content of your submissions.

5. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Site will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the use of the Site will be accurate or reliable; (c) the quality of any information obtained through the Site will meet your expectations; or (d) any defects in the Site will be corrected.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RUTAGON, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to or use of (or inability to access or use) the Site
  • Any content obtained from the Site
  • Unauthorized access to or alteration of your transmissions or data
  • Any other matter relating to the Site

In no event shall our total liability to you for all claims arising from or relating to the Site exceed one hundred U.S. dollars ($100.00).

7. Indemnification

You agree to indemnify, defend, and hold harmless Rutagon and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

8. Third-Party Links

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Rutagon (e.g., LinkedIn, GitLab, Medium, AWS). We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that Rutagon shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party websites.

9. Modifications to the Site and Terms

We reserve the right to modify, suspend, or discontinue the Site (or any part thereof) at any time without notice. We also reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the changes.

10. Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Rutagon is organized, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Site shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or in a court of competent jurisdiction.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Rutagon regarding your use of the Site and supersede all prior agreements, communications, and proposals, whether oral or written, between you and Rutagon regarding the Site.
